Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SimpleRef cloud-based referral management platform ("the Service") operated by StatX Analytics Pty Ltd (ABN 60 679 369 898), trading as SimpleRef Australia ("SimpleRef", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

By accessing or using the Service, creating an account, or clicking "I agree" (or similar affirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation (such as a medical practice), you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

SimpleRef is a cloud-based software-as-a-service (SaaS) platform designed for Australian specialist medical practices. The Service provides tools for managing the end-to-end referral lifecycle and practice operations, including:

We continuously improve the Service and may add, modify, or remove features from time to time. We will use reasonable efforts to notify you of material changes that may affect your use of the Service. We are not liable for any changes made to the Service in the ordinary course of development and improvement.

To use the Service, you must create an Account and provide accurate, current, and complete information during registration. You agree to update your Account information promptly if it changes.

SimpleRef provides five access levels: Super Admin, Admin, Staff, Shared Staff, and Doctor. You are responsible for managing user roles and permissions within your Practice and ensuring that each Authorised User is assigned an access level appropriate to their function. You must ensure that all Authorised Users are appropriately trained on the use of the Service and comply with these Terms.

6.1 Your Data

You own your data. All Customer Data remains your property. We do not claim any ownership rights over your Customer Data.

You grant us a limited, non-exclusive licence to host, process, store, and display your Customer Data solely for the purpose of providing and improving the Service. This licence terminates when your Account is closed and your data is deleted in accordance with Section 10.

6.2 Our Intellectual Property

SimpleRef, including its software, source code, design, user interface, branding, trademarks, logos, and documentation, is owned by StatX Analytics Pty Ltd and is protected by copyright, trademark, and other intellectual property laws. The Service is licensed (not sold) to you for the duration of your subscription. All intellectual property rights in the Service remain with us.

6.3 Aggregated Data

We may collect and use aggregated, anonymised, and de-identified data derived from your use of the Service for purposes such as analytics, benchmarking, and improving the Service. Such aggregated data will not identify you or any individual patient.

7. Subscription Plans and Payment

7.1 Free Trial

New accounts receive a 14-day free trial with full access to all features. A credit card is required to start the trial, but no charges are made during the trial period. At the end of the trial period, your subscription will begin automatically. If you cancel before the trial ends, you will not be charged.

The Service is offered under the following subscription plans:

Optional add-ons are available at additional cost and may be added to any plan. Details of available add-ons and their pricing are provided within the Service or upon request.

7.3 Billing and Currency

All prices are in Australian Dollars (AUD) and are inclusive of GST. Subscriptions are billed monthly in advance.

7.4 Payment Processing

Payments are processed securely via Stripe. You authorise us to charge your nominated payment method on a recurring monthly basis. SimpleRef does not store your credit card details; all payment information is held securely by Stripe in accordance with PCI DSS requirements.

7.5 Money-Back Guarantee

We offer a 14-day money-back guarantee on both your initial subscription and subsequent renewals. If you are not satisfied with the Service, you may request a full refund within 14 days of any billing date by contacting support@simpleref.com.au. Refunds will be processed to your original payment method within 5-10 business days.

7.6 Failed Payments

If a payment fails, we will notify you and provide a 14-day grace period to update your payment details. During this grace period, you will retain full access to the Service. If payment is not resolved within 14 days, your account will be restricted to read-only mode until payment is successfully processed.

7.7 Price Changes

We may change our subscription pricing from time to time. We will provide at least 30 days' notice of any price increases via email. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new price takes effect.

8. Cancellation and Refunds

You may cancel your subscription at any time through the Service or by contacting us. Cancellation takes effect at the end of your current billing period. There are no cancellation fees or long-term lock-in contracts.

Outside of the 14-day money-back guarantee period described in Section 7.5, we do not provide refunds for partial months. Upon cancellation, you will retain access to the Service until the end of your current billing period.

9. Healthcare Disclaimer

The Service is a referral management and practice administration tool. It does not provide medical advice, diagnosis, or treatment recommendations. You remain solely responsible for all clinical decisions, patient care, and clinical outcomes. SimpleRef is not a medical device and is not intended to be used as one.

AI-powered features within the Service (such as referral summaries) are provided as productivity aids only. All AI-generated content must be reviewed by a qualified healthcare professional before any clinical reliance is placed upon it.

10. Termination

10.1 Termination by Either Party

Either party may terminate this agreement with 30 days' written notice.

10.2 Termination by SimpleRef

We may suspend or terminate your Account immediately if you materially breach these Terms, engage in activity that threatens the security or integrity of the Service, or fail to cure a breach within 14 days of receiving written notice.

10.3 Effect of Termination

Upon termination, your Customer Data will remain accessible for export for 30 days. During this 30-day window, we can provide data exports in standard formats (CSV, JSON) upon request. After the 30-day period, we will delete your Customer Data from our active systems in accordance with our Privacy Policy.

11. Service Availability

We use reasonable commercial efforts to make the Service available 24 hours a day, 7 days a week. However, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure upgrades, or circumstances beyond our reasonable control (including force majeure events such as natural disasters, power outages, or third-party service failures).

We will make reasonable efforts to provide advance notice of planned maintenance. We are not liable for any loss or damage arising from service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, SimpleRef's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to SimpleRef in the 12 months immediately preceding the claim.

To the maximum extent permitted by law, SimpleRef shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, whether based on warranty, contract, tort, negligence, or any other legal theory, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death, or personal injury caused by negligence.

You agree to indemnify, defend, and hold harmless SimpleRef, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

We aim to respond to all support requests within 1 business day. Response times may vary depending on the complexity of the issue and current support volume. Support is available during Australian Eastern business hours (Monday to Friday, excluding public holidays).

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of the courts of New South Wales and any courts of appeal therefrom.

16.2 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, restricted, or modified by agreement.

16.3 Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute arising under these Terms through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue remedies available under applicable law.

16.4 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
